This is a six month contract with a requirement to be in London three times a week.
You will help lead Endava’s corporate legal, US securities and governance work. Work closely with Finance, the Company Secretary and other control owners to support effective controls, clear escalation and sound decision-making.
Key responsibilities
Lead and coordinate US securities reporting and disclosure for Endava as a foreign private issuer, including Forms 20-F and 6-K, registration statements and ownership disclosures as applicable.
Advise on market announcements, results materials, annual reports, earnings communications, insider dealing controls and directors’ dealings.
Support disclosure processes, Board and committee governance, directors’ duties, conflicts, related-party matters and relevant corporate policies.
Lead or support M&A, financing, restructurings and other corporate transactions, including due diligence, negotiation, approvals, closing and integration.
Advise on group structure, subsidiary governance and cross-border corporate matters, working with Tax, Finance and local counsel.
Work with Finance, Risk, Compliance, Internal Audit and other control owners on legal risks and agreed remediation.
Manage corporate disputes and external legal advisers, including scope, budget and service quality.
Lead and develop the corporate legal team and improve legal workflows, including responsible use of AI and automation.
Qualified lawyer in a relevant jurisdiction, such as England and Wales or a US state.
Substantial practical experience advising on US securities law and public-company reporting; foreign private issuer experience is preferred.
Experience with NYSE- or Nasdaq-listed companies is preferred.
Strong corporate law experience across transactions, financing, group structures and cross-border matters.
Experience advising senior leaders and boards, managing external counsel and leading or developing a legal team.
US bar admission is advantageous but not required, subject to applicable rules governing legal services in relevant jurisdictions.
Excellent judgement, communication, drafting, negotiation and project-management skills.
